System Requirements:

RFID 2004 is supplied as a CD-ROM with data formatted for IBM compatible computers as Microsoft Word .rtf files.

1. AGREEMENT TO PURCHASE. High Impact IP ("HIIP") agrees to sell and you ("Client") agree to purchase for the prices stated, the reports ("Products") selected on the accompanying order form. Client agrees to pay HIIP the total amount due.

2. PROPRIETARY RIGHTS. HIIP's Products are protected by US and international copyright law and other intellectual property laws. Client acknowledges that the Products include works of original authorship, including compiled content containing HIIP's selection, arrangement, coordination, and expression of such content or preexisting material, and that the information has been created, developed, and maintained by HIIP at great expense of time and money and that misappropriation or unauthorized use by others for commercial gain would unfairly and irreparably harm HIIP. Client shall not commit or permit any act or omission that would impair HIIP's proprietary and intellectual property rights in the Products. Except as stated here or in the license terms which accompany a HIIP work, Client shall not directly or indirectly copy Products in whole or in part without the express written consent of HIIP. All the Client rights to use the Products are expressly stated here and in the Sample material provided on the HIIP web site. There are no implied rights, and HIIP reserves all rights not expressly granted to the Client. Inquiries regarding permission to copy or use the Products in any other manner should be directed to HIIP.

3. LIMITATION OF LIABILITY. HIIP shall not be liable for any damages incurred by Client arising as a result of reliance upon HIIP's Products. HIIP's entire liability arising out of this Agreement shall not exceed $100. In no event will HIIP be liable for any consequential, indirect, special, or incidental damages such as damages for lost profits, business failure or loss, arising out of use of the Products whether HIIP has been advised of the possibility of such damages or not.

4. LIMITED WARRANTY. HIIP warrants that the products are based on HIIP's reasonable efforts to compile and analyze the best sources reasonably available to HIIP at any given time and that any opinions reflect HIIP's judgment at the time and are subject to change. The foregoing warranty is in lieu of all warranties, express, or implied, statutory or otherwise, including without limitation, any implied warranties of merchantability or fitness for a particular purpose, and warranties as to accuracy, completeness, or adequacy of information. HIIP reserves the right to modify products at any time.

5. MISCELLANEOUS. This Agreement and any other terms that may accompany a Product shall be the complete agreement between HIIP and Client regarding the Product. This Agreement may not be changed or amended except in writing signed by both parties. Purchase is subject to the United States Uniform Commercial Code. The parties hereby select the courts of Massachusetts to resolve any disputes arising under this Agreement. In the event any provision of this Agreement shall not be enforceable, the remainder of this Agreement shall continue in full force and effect.

BY SIGNING THE ORDER FORM, THE CLIENT ACKNOWLEDGES READING AND UNDERSTANDING THIS ENTIRE AGREEMENT AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS.
